Please read these Terms of Service ("Terms," "Agreement") carefully before using andelion.store (the "Site") operated by ANDELION ("we," "us," "our," or the "Company"), a business owned and operated by Ariana Cardenas. These Terms set forth the legally binding terms and conditions for your access to and use of our Site, products, and services.

BY ACCESSING OR USING OUR SITE, PLACING AN ORDER, CREATING AN ACCOUNT, OR CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE OUR SITE.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use our Site and make purchases. By using our Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

1.2 Account Creation

To access certain features, you may create an account. You agree to:

• Provide accurate, current, and complete information during registration and maintain its accuracy
• Maintain the security and confidentiality of your password and account credentials
• Notify us immediately at contact@andelion.shop of any unauthorized access or security breach
• Accept full responsibility for all activities that occur under your account
• Not create accounts by automated means or under false or fraudulent pretenses

We reserve the right to suspend or terminate accounts with inaccurate information, suspected fraudulent activity, or prolonged inactivity.

1.3 Guest Checkout

You may place orders as a guest without creating an account. However, certain features (order history, saved addresses, wishlist) require an account.

2. Products, Pricing, and Availability

2.1 Product Descriptions

ANDELION specializes in handbags and fashion wearables. We make every effort to display our products, including colors, materials, dimensions, and descriptions, as accurately as possible. However:

• Colors may vary due to monitor/display settings and photography lighting
• Natural materials (leather, canvas) may have slight variations in texture and color
• Dimensions provided are approximate and may vary slightly
• We do not warrant that product descriptions are entirely error-free

If a product is not as described, your sole remedy is to return it in unused condition per our Return & Refund Policy.

2.2 Pricing

• All prices are listed in United States Dollars (USD) unless otherwise indicated.
• Prices are subject to change without notice. Changes do not affect orders already placed.
• We reserve the right to limit quantities per customer, discontinue products, or correct pricing errors at any time.
• If a pricing error is discovered after your order is placed, we reserve the right to cancel the order and provide a full refund, or contact you to confirm the correct price before proceeding.

2.3 Product Availability

All products are subject to availability. We cannot guarantee that all items displayed will be in stock. If an item becomes unavailable after you place an order, we will notify you promptly and provide a full refund for that item.

3. Orders and Payment

3.1 Order Placement

By placing an order, you represent that:

• The information provided is accurate, complete, and current
• You are authorized to use the selected payment method
• You are at least 18 years of age

All orders are subject to our acceptance and product availability.

3.2 Order Acceptance and Confirmation

Receipt of an order confirmation email does not constitute acceptance of your order. We reserve the right to accept or decline any order for any reason, including:

• Product unavailability
• Errors in product description or pricing
• Suspected fraud or unauthorized payment activity
• Violations of these Terms
• Shipping restrictions to your location
• Inability to verify payment information

Order acceptance occurs when we ship the product and send a shipping confirmation email.

3.3 Payment Methods

We accept payment through Shopify Payments, including:

• Major credit and debit cards (Visa, Mastercard, American Express, Discover, JCB, Diners Club)
• Shop Pay
• Apple Pay
• Google Pay
• PayPal (where available)

Payment information is processed securely through PCI-DSS Level 1 compliant systems. You authorize us to charge your selected payment method for the total amount of your order, including product prices, applicable taxes, shipping fees, and any other charges.

3.4 Currency and Taxes

• All prices and transactions are processed in USD unless you select a different display currency (which is for reference only).
• For customers in the United States, applicable sales tax will be calculated and displayed at checkout based on your shipping address.
• For orders placed through the Shop sales channel, tax collection, remittance, and filing is handled by SC Commerce Services Inc. as of January 1, 2025.
• International customers are responsible for any customs duties, import taxes, VAT, or other fees imposed by their country.

3.5 Fraud Prevention

We utilize fraud detection services to protect against unauthorized transactions. If your order is flagged for review, we may contact you to verify your identity or payment information before processing. We reserve the right to cancel orders suspected of fraud.

4. Shipping and Delivery

Please refer to our Shipping Policy for complete details on processing times, shipping methods, delivery estimates, and international shipping to our active markets.

Risk of Loss: Risk of loss and title for items purchased pass to you upon delivery of the items to the carrier. We are not responsible for delays caused by the carrier, customs, weather, or other factors outside our reasonable control.

5. Returns, Refunds, and Exchanges

6. Intellectual Property

6.1 Our Content

All content on andelion.store, including but not limited to text, graphics, logos, images, photographs, videos, audio clips, digital downloads, data compilations, software, page layouts, design elements, and the overall "look and feel" (collectively, "Site Content"), is the exclusive property of ANDELION or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Site for personal, non-commercial use only. This license does not include:

• Any resale, commercial use, or exploitation of the Site or its contents
• Any collection, aggregation, or use of product listings, descriptions, images, or prices
• Any derivative use, modification, adaptation, or creation of derivative works
• Any downloading or copying of account information for the benefit of another merchant
• Any use of data mining, robots, spiders, scrapers, or similar data gathering and extraction tools
• Any framing or utilizing framing techniques to enclose any trademark, logo, or proprietary information

6.3 Trademarks

"ANDELION," the ANDELION logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ANDELION or its affiliates. You may not use such marks without our prior written permission. All other trademarks not owned by ANDELION that appear on the Site are the property of their respective owners.

6.4 User Content

If you submit reviews, photos, comments, or other content ("User Content") to our Site, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that:

• You own or control all rights to the User Content you submit
• The content is accurate and not misleading
• The content does not violate the rights of any third party
• The content does not violate any law or regulation

7. Prohibited Activities

You agree not to use our Site to:

• Violate any applicable federal, state, local, or international law, regulation, or ordinance
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Transmit any material that is unlawful, defamatory, libelous, threatening, harassing, abusive, obscene, or otherwise objectionable
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in fraudulent activity, submit false information, or make fraudulent claims
• Interfere with or disrupt the Site, servers, or networks connected to the Site
• Attempt to gain unauthorized access to any portion of the Site, accounts, or systems
• Use the Site for any unauthorized commercial purpose, including reselling products without authorization
• Harvest or collect email addresses or other contact information of other users
• Use the Site to send unsolicited communications, spam, or pyramid schemes
• Introduce viruses, trojans, worms, or other malicious code

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the Site will be uninterrupted, timely, secure, or error-free
• Any warranty as to the accuracy, reliability, completeness, or timeliness of any content or information
• Any warranty that defects will be corrected or that the Site is free of viruses or other harmful components
• Any warranty regarding the quality, safety, or legality of any products

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE UNDER THE UNIFORM COMMERCIAL CODE (UCC) AS ADOPTED IN THE STATE OF IDAHO.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANDELION, ARIANA CARDENAS, OUR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, goodwill, or other intangible losses
• Personal injury or property damage
• Damages resulting from your access to, use of, or inability to access or use the Site
• Damages resulting from any conduct or content of any third party on the Site
• Damages resulting from unauthorized access, use, or alteration of your transmissions or content
• Damages resulting from products purchased or obtained through the Site
• Damages resulting from errors, mistakes, inaccuracies, or omissions in Site content

IN NO EVENT SHALL OUR TOTAL, CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE A CONSUMER IN THE EUROPEAN ECONOMIC AREA, UNITED KINGDOM, OR AUSTRALIA, YOUR STATUTORY RIGHTS ARE NOT AFFECTED.

10. Indemnification

You agree to defend, indemnify, and hold harmless ANDELION, Ariana Cardenas, our parent company, subsidiaries, affiliates, officers, directors, employees, agents, suppliers, licensors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Site, including any use of content, services, or products other than as expressly authorized
• Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights
• Any conduct or content you submit, post, transmit, or make available through the Site
• Your negligence, willful misconduct, or fraudulent activity

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

11.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us directly at contact@andelion.shop with a detailed written description of the dispute. We will make good faith efforts to resolve the dispute informally within 30 days of receiving your notice.

11.3 Binding Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in Boise, Idaho, unless both parties agree to a different location or remote proceedings.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator shall have authority to award the same damages and relief as a court.

CLASS ACTION WAIVER: YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST ANDELION. YOU MAY NOT CONSOLIDATE CLAIMS OF MULTIPLE CUSTOMERS.

If any portion of this class action waiver is found to be unenforceable, the remaining portions shall remain in full force and effect, and the unenforceable portion shall be severed.

11.4 Exceptions to Arbitration

Notwithstanding the arbitration agreement, either party may:

• Bring an individual action in small claims court for disputes within the court's jurisdiction
• Seek injunctive or other equitable relief in a court of competent jurisdiction for matters related to intellectual property rights, unauthorized access, or actual or threatened misuse of the Site
• Bring claims related to the enforceability or validity of the arbitration agreement

11.5 Opt-Out of Arbitration

You may opt out of this arbitration agreement by sending written notice to ANDELION, 511 W California Ave, Homedale, ID 83628-3040, USA, within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in court as described below.

11.6 Venue

If arbitration does not apply (including if you validly opt out), any legal action shall be brought exclusively in the state or federal courts located in Ada County or Canyon County, Idaho. You consent to the personal jurisdiction of such courts.

12. Termination

We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent activity or suspected fraud
• Conduct that we determine is harmful to other users, us, or third parties
• Extended periods of inactivity
• Violations of applicable law

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, limitation of liability, and dispute resolution.

13. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be effective immediately upon posting the updated Terms on the Site with an updated "Last Updated" date. Your continued use of the Site after changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.

For material changes, we will:

• Post a notice on the Site's homepage
• Update the "Last Updated" date
• Send email notification to registered users where practicable

14. Third-Party Services

14.1 Shopify

Our Site is powered by Shopify Inc., 151 O'Connor Street, Ground floor, Ottawa, Ontario, K2P 2L8, Canada. Your use of Shopify's platform and services is subject to Shopify's Terms of Service and Privacy Policy. We are not responsible for Shopify's platform performance, outages, or data practices, and Shopify is not responsible for our products, policies, or conduct.

14.2 Payment Processors

Payment processing is handled by Shopify Payments and other third-party payment providers. Your use of these services is subject to their respective terms and privacy policies.

14.3 Third-Party Links

Our Site may contain links to third-party websites or services not owned or controlled by ANDELION (e.g., social media platforms, shipping carriers). We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. Your use of third-party sites is at your own risk. We encourage you to review the terms and privacy policies of any third-party sites you visit.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or internet services, or government restrictions.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing signed by an authorized representative of ANDELION.

17. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, and Shipping Policy (all incorporated by reference), constitute the entire agreement between you and ANDELION regarding your use of the Site and supersede all prior agreements, understandings, negotiations, and communications, whether oral or written.
